Terms and conditions of sale.

Article 1: Purpose
These general terms of service aim to define the conditions under which Be and Lead commits to providing the Client, upon request, with the services described in this proposal.

Article 2: Confidentiality & Ethics
In compliance with confidentiality rules, the Client authorizes Be and Lead to use the work carried out under this contract as a reference.

Article 3: Payment Terms
Our services and fees are payable in full upon receipt of the invoice, without any discount, by check or bank transfer. In accordance with Article 121 of Law No. 2012-387, if the 60-day payment deadline is exceeded, a fixed compensation fee of €40 for recovery costs will be charged.

Article 4: Intervention Cost and Scope of General Terms and Conditions
The intervention will take place within the budget estimate outlined in this contract. If an extension of the intervention becomes necessary or if the client makes an additional request, the corresponding additional intervention will be subject to an amendment to this contract.
Any general conditions included in documents sent to either party shall not be incorporated into this contract and must be subject to a specific prior express agreement.

Article 5: Breach of Obligations
In the event of failure to comply with any of the obligations stipulated in the contract, and after formal notice sent by registered letter with acknowledgment of receipt remains without effect for a period of one month, the contract may be terminated by either party, without prejudice to any damages to which it may be entitled due to the aforementioned breaches.

Article 7: Potential Disputes and Jurisdiction
The Client waives all recourse against Be and Lead, except in cases of intentional fault, for any immaterial or material damages occurring on the Client’s premises, whether to the Client’s property or personnel.
If a dispute or disagreement cannot be resolved amicably, any litigation arising from this contract shall be brought before the Paris Court, which has jurisdiction over the registered office of Be and Lead.
